End User License Agreement (EULA)

1. Acceptance of Terms

This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you (either an individual or a single legal entity) and HUB IT Group Pvt. Ltd. ("HUB IT Group", "we", "our", or "us") governing your license and usage of our custom engineering solutions, integration modules, code repositories, and bespoke system panels.

By activating, acquiring, hosting, or engaging with any software, product panel, or custom portal crafted by HUB IT Group, you explicitly consent to remain governed by the provisions of this Agreement. If you do not accept these parameters, do not deploy or utilize the software.

2. License Grant & Permitted Usage

Subject to continuous compliance with this EULA and receipt of full compensation outlined in client engagement contracts, HUB IT Group grants you a non-exclusive, non-transferable, revocable license to execute and run the designated software panels strictly within the parameters specified:

  • Single Instance Deployment: Unless explicitly expanded via a written Multi-site License addendum, each software build is licensed for deployment on a single primary domain/server environment.
  • No Redistribution: You may not sell, lease, repackage, license, redistribute, or distribute copies of our proprietary codebases, custom plugins, or structural patterns to third-party entities.
  • Modification Boundaries: You are authorized to adapt the frontend layers and configurations for internal system compatibility, but structural cores, compliance flags, and copyright notes must remain untouched.

3. Prohibited Modifications & Reverse Engineering

Except to the extent permitted by applicable laws of Nepal or explicit prior written clearance from our engineering directors, you are strictly prohibited from:

  1. Decompiling, reverse assembling, decrypting, or attempting to discover the source logic of any compiled backend binary libraries delivered by HUB IT Group.
  2. Removing, modifying, obscuring, or bypassing any proprietary notices, trademark labels, API authentication headers, or system watermarks inside our code.
  3. Using our custom automation modules to power a Software-as-a-Service (SaaS) white-label platform for sale without a dedicated SaaS distribution agreement.

4. Intellectual Property Rights & Ownership

The software, underlying frameworks, system architectures, customized databases, and all accompanying configurations are protected by copyright, trade secret, and other intellectual property laws of Nepal and international treaties.

You acknowledge that all rights, titles, and interests in the underlying code remain exclusively the property of HUB IT Group and its technology vendors. This license does not constitute a sale of the underlying code, only a license to use it under the terms of this Agreement.

5. Limitation of Liability & Warranty

Our software products are delivered "as is" without any express or implied warranties, including but not limited to quiet enjoyment, integration compatibility, or merchantability. HUB IT Group does not guarantee that the software's operation will be completely uninterrupted or free from minor styling variances.

In no event shall HUB IT Group or its developers be liable for direct, indirect, special, incidental, or consequential damages (including loss of server database records, security breach damages, or project delay costs) arising out of the use or inability to use the software, even if advised of such possibilities.

6. Governing Law & Dispute Resolution

This Agreement is governed, structured, and interpreted in absolute alignment with the laws of Nepal. Any legal action, administrative litigation, or dispute resolution arising from our system deliverables or this EULA shall be conducted exclusively within the jurisdiction of the district courts of Kathmandu or Rupandehi, Nepal.
