Terms of Service
Please read these terms carefully before engaging with any of our services, platforms, or products.
1. Acceptance of Terms
By accessing our website at hubit.group, engaging our professional services, or entering into any service agreement with HUB IT Group Pvt. Ltd. ("HUB IT Group", "we", "our", or "us"), you confirm that you have read, understood, and agreed to be bound by these Terms of Service ("Terms").
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, do not access or use our services.
2. Description of Services
HUB IT Group is a design-led technology engineering agency registered in Nepal. Our core service portfolio includes, but is not limited to:
- Custom Software Development: Bespoke web applications, enterprise dashboards, SaaS platforms, and backend API systems engineered to exact client specifications.
- Mobile Application Development: Cross-platform iOS and Android apps built using React Native and similar modern frameworks.
- Website Design & Development: Responsive, high-performance marketing websites and e-commerce platforms.
- IT Infrastructure & Support: Server configuration, cloud deployment, DevOps pipelines, and ongoing technical maintenance agreements.
- Digital Marketing: SEO optimization, social media strategies, paid advertising management, and content creation.
The exact scope, deliverables, timelines, and costs of each engagement are specified in individual project agreements or statements of work ("SOW") signed prior to the commencement of services.
3. Client Obligations
To ensure successful delivery of our services, clients agree to fulfill the following responsibilities:
- Timely Collaboration: Provide necessary content, brand assets, credentials, and feedback within agreed review windows. Delays in client-side deliverables may extend project timelines without penalty to HUB IT Group.
- Accurate Information: Ensure all business details, compliance requirements, and technical specifications provided to us are accurate and complete.
- Lawful Use: Use all delivered systems, code, and platforms strictly in compliance with applicable Nepalese laws, regulations, and these Terms. You must not use our deliverables to conduct any illegal, deceptive, or harmful activity.
- Security Responsibilities: Maintain the security of access credentials, API keys, and admin panel logins provided as part of your deployment. Notify us immediately of any suspected unauthorized access.
4. Intellectual Property Rights
Unless explicitly stated otherwise in a project agreement, the following ownership rules apply:
- Client-Owned Assets: Upon receipt of full payment, clients receive full ownership of the final deliverables — including design files, frontend code, and database schemas — created specifically for their project.
- HUB IT Group IP: Any pre-existing frameworks, internal tools, proprietary modules, component libraries, or generic code patterns developed by HUB IT Group prior to or independently of the engagement remain the exclusive intellectual property of HUB IT Group.
- Third-Party Licenses: Projects may incorporate open-source libraries or licensed third-party tools. Clients are responsible for adhering to those individual licensing requirements in production use.
5. Payment & Billing Terms
All pricing, payment schedules, and milestone structures are defined in individual project agreements. The following general terms apply across all engagements:
- Advance Payment: A minimum deposit of 40% of the total project cost is required before work commences, unless otherwise negotiated in writing.
- Milestone Billing: Remaining payments are structured around agreed project milestones or monthly retainer cycles.
- Late Payments: Overdue invoices beyond 15 days may result in a suspension of active work, server deployments, or access to admin panels until outstanding dues are settled.
- Currency: All invoices are issued in Nepalese Rupees (NPR) by default unless an alternate currency is specified in the project agreement.
6. Confidentiality
Both parties agree to maintain strict confidentiality over all non-public business information, technical data, trade secrets, client databases, and commercial strategies shared during the course of the engagement.
HUB IT Group will not disclose, sell, or share your confidential project details or business data to any third party without your explicit written consent, except where required by applicable law or court order. This obligation remains in effect for a period of five (5) years following the completion or termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted under applicable law, HUB IT Group shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of — or inability to use — our services or deliverables, including but not limited to loss of revenue, business interruptions, or data loss.
Our total aggregate liability to any client for any claim arising from a service engagement shall not exceed the total fees paid by that client to HUB IT Group for the specific project giving rise to the claim, within the six (6) months preceding the incident.
8. Termination
Either party may terminate a service agreement by providing written notice of at least 14 calendar days. Upon termination:
- All completed work up to the termination date will be delivered to the client upon settlement of all outstanding invoices.
- Any advance payments for work not yet initiated will be refunded on a pro-rata basis within 30 working days.
- HUB IT Group retains the right to immediately terminate access for material breach of these Terms, including non-payment or misuse of delivered systems.
9. Governing Law & Dispute Resolution
These Terms of Service are governed exclusively by the laws of Nepal. Any disputes, claims, or controversies arising out of or relating to these Terms or our services shall be resolved first through good-faith negotiation between both parties.
If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable Nepalese arbitration laws, with proceedings conducted in Butwal, Rupandehi, Nepal. Judgment on the arbitration award may be entered in any court having jurisdiction.
